I have a dell 4550. just replaced the motherboard. powered up and after about 2 min it shuts off with no warnings or anything. is this a processor over heatig problem?

Sure sounds like an overheating issue or improperly seated CPU .Try reseating the processor and make sure you have a heat sink and the proper amount of thermal paste on it .

I reseated the processor cleaned off the old thermal paste and applied new paste and it is still doing the same thing. Any other suggestions?

Dell computers can have the bios set to record thermal event shutdowns. if this option is not turned on in the bios, please turn it on and restart the computer. then after it shuts down again, read the logs to see if it is indeed the processor overtemp threshhold. It may also be that the power supply is marginal and it is shutting down thermally. Hope this helps.
